Governing Law; Dispute Resolution; Arbitration: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.

Before filing any formal dispute, you agree to contact us at legal@moonlabproductions.com and attempt to resolve the matter informally. We will make reasonable efforts to resolve the dispute within 30 days of receiving notice.

If a dispute cannot be resolved informally, you and MoonLab agree that any unresolved dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be settled by binding arbitration administered by JAMS (or a mutually agreed arbitration provider) in Los Angeles, California, under its Streamlined Arbitration Rules. The arbitrator’s decision will be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened misuse of intellectual property or confidential information.

Waiver of Class Action: To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If any court or arbitrator determines that this class action waiver is unenforceable, then the arbitration agreement shall be void and disputes shall be resolved in court.

Changes to These Terms: We reserve the right to modify these Terms at any time. When we make changes, we will update the Effective Date at the top of this page. If changes are material, we will take reasonable steps to provide notice (such as posting a notice on the Site or sending an email to newsletter subscribers).
